PLEASE READ THESE TERMS & CONDITIONS CAREFULLY BEFORE SUBMITTING YOUR ORDER.
By checking the applicable agreement box and clicking “Submit,” submitting payment, enrolling in a ScaleHouse Academy program, or accessing ScaleHouse Academy products or services, you acknowledge that you have read, understand, and agree to be legally bound by these Terms & Conditions (“Terms”), together with our Privacy Policy, Refund & Cancellation Policy, Text Messaging Policy, and any other disclosures presented to you at checkout.
If you do not agree to these Terms, do not click “Submit” or complete your purchase.
These Terms are between ScaleHouse Academy, LLC (“ScaleHouse,” “Company,” “we,” “us,” or “our”) and the individual or business purchasing or accessing our programs, products, services, websites, communities, or materials (“Student,” “Member,” “you,” or “your”).
1. PROGRAM
ScaleHouse Academy provides business education, mentorship, coaching, training, tools, systems, frameworks, resources, and guided implementation designed to help entrepreneurs start, operate, improve, and scale businesses.
Depending upon the Program purchased, enrollment may include:
Live E-Commerce Mentorship
● Direct Access
● Dedicated Scale Partner
● Guided Implementation
● Proven Systems
● Revenue Level Tracks
● AI Automation Integration
● Virtual Assistant Hiring
● Community Access
● Personalized Growth Recommendations
● Group Working Sessions
● Start or Scale Your Business
ScaleHouse may reasonably modify Program schedules, instructors, coaches, Scale Partners, platforms, curriculum sequencing, delivery methods, technology, or individual Program components while maintaining the overall nature of the Program purchased.
No statement regarding a future feature, resource, coach, technology, training, or other Program component constitutes a guarantee that such feature will remain available indefinitely.
2. PROGRAM TERM
Your applicable sales page, checkout page, order confirmation, or Program description will identify your Program enrollment period (“Enrollment Term”).
Your Enrollment Term and your Payment Term are separate.
Your payment schedule may extend beyond your Enrollment Term.
If your Enrollment Term or Program access ends before you complete your Payment Plan, you remain responsible for every remaining payment until your entire Program Fee has been paid in full.
Completion, expiration, withdrawal from, non-use of, or discontinuation of the Program does not cancel, reduce, forgive, or otherwise eliminate your outstanding balance.
3. PRICING & PAYMENT OPTIONS
Unless otherwise stated on the applicable sales or checkout page, current Program pricing is:
PAY IN FULL
$9,997 USD
PAYMENT PLAN
$11,970 USD TOTAL
The Payment Plan consists of:
$2,000 due at enrollment, followed by Ten (10) monthly payments of $997.
The Pay-in-Full price and Payment Plan price are separate pricing options.
The Payment Plan is not a month-to-month subscription and does not provide a month-to-month right to cancel the remaining contractual payment obligation.
By selecting the Payment Plan and clicking “Submit,” you agree to pay the entire $11,970 Payment Plan Program Fee, subject to any non-waivable rights provided by applicable law.
4. PRICING SUBJECT TO CHANGE
ScaleHouse reserves the right to change pricing, Program fees, payment options, promotions, discounts, bonuses, and offers for future purchases at any time without prior notice, subject to applicable law.
A pricing change will not retroactively alter the Program Fee for a purchase you have already completed unless otherwise expressly agreed or permitted by applicable law.
Promotional pricing, discounts, bonuses, or special offers may be modified or discontinued at any time and do not entitle previous or future purchasers to the same pricing or offer.
5. PAYMENT AUTHORIZATION
If you select a Payment Plan, you authorize ScaleHouse and its payment processor to automatically charge the payment method you provide for each scheduled payment.
You agree to maintain accurate, current, and valid payment information until your balance has been paid in full.
A failed, declined, returned, reversed, expired, or disputed payment does not cancel your financial obligation.
ScaleHouse may reattempt payment and may suspend Program access while your account remains delinquent.
Failure to participate in the Program or suspension of access does not eliminate your outstanding payment obligation.
To the extent permitted by applicable law, ScaleHouse may pursue amounts lawfully due and reasonable collection costs associated with delinquent amounts.
6. NON-REFUNDABLE & NON-CANCELLABLE PROGRAM FEE
ALL PAYMENTS ARE NON-REFUNDABLE EXCEPT WHERE A REFUND, CANCELLATION, OR RESCISSION RIGHT IS REQUIRED BY APPLICABLE LAW.
Your enrollment constitutes a commitment to the entire applicable Program Fee.
You may choose to stop participating in the Program; however, discontinuing participation does not cancel your financial obligation.
You remain responsible for the applicable Program Fee regardless of whether you:
● Attend every session;
● Complete the Program;
● Access every resource;
● Implement ScaleHouse recommendations;
● Continue operating your business;
● Achieve your desired results;
● Stop participating;
● Request termination of access;
● Experience financial hardship;
● Change or close your business; or
● Reach the end of your Enrollment Term before your Payment Plan is complete.
YOUR PROGRAM ACCESS MAY END BEFORE YOUR PAYMENT SCHEDULE ENDS.
ANY REMAINING BALANCE CONTINUES TO BE DUE UNTIL PAID IN FULL.
7. FAILED PAYMENTS & SUSPENSION
ScaleHouse may suspend access to coaching, communities, training, materials, Scale Partners, group sessions, tools, resources, or other Program benefits if a scheduled payment becomes delinquent.
Suspension does not pause or extend your Enrollment Term and does not eliminate amounts otherwise due.
ScaleHouse may restore access after the delinquency is resolved.
To the extent permitted by applicable law and the applicable payment agreement, ScaleHouse may pursue lawful remedies to recover delinquent balances.
8. NO GUARANTEE OF RESULTS & EARNINGS DISCLAIMER
ScaleHouse provides education, coaching, mentorship, systems, frameworks, recommendations, and implementation guidance.
SCALEHOUSE DOES NOT GUARANTEE ANY PARTICULAR REVENUE, INCOME, PROFIT, SALES, CUSTOMERS, BUSINESS GROWTH, COST SAVINGS, OR OTHER BUSINESS OR FINANCIAL RESULT.
Your results depend upon numerous factors outside ScaleHouse's control, including your experience, existing business, business model, industry, offer, market, capital, pricing, team, execution, work ethic, decision-making, competition, economic conditions, and implementation.
Testimonials, case studies, student results, revenue examples, success stories, screenshots, or other examples represent individual experiences and are not guarantees that you will achieve identical or similar results.
Starting and operating a business involves risk, including the potential loss of capital.
ScaleHouse is not responsible for the success or failure of your business or for business decisions you make based upon information provided through the Program.
9. TESTIMONIALS, CASE STUDIES & RESULTS
ScaleHouse may present testimonials, reviews, case studies, business examples, or results from current or former students.
These examples are provided for informational purposes and describe the experiences of particular individuals or businesses.
Individual experiences vary.
Unless ScaleHouse expressly states otherwise and possesses appropriate substantiation, a testimonial or case study should not be interpreted as representing the results that every or any particular Student will achieve.
Where applicable law requires disclosures concerning testimonials, endorsements, compensation, material connections, or earnings representations, ScaleHouse will provide those disclosures.
10. STUDENT RESPONSIBILITY
You remain solely responsible for your business and the decisions you make.
Unless expressly agreed otherwise in a separate written agreement, ScaleHouse does not operate or manage your business or make business decisions on your behalf.
You remain responsible for decisions involving employees, contractors, hiring, termination, marketing, advertising, sales, pricing, technology, artificial intelligence, automation, finances, taxes, customers, operations, and legal compliance.
ScaleHouse does not provide legal, accounting, tax, investment, medical, securities, or other licensed professional advice.
11. NO ORAL GUARANTEES OR MODIFICATIONS
No salesperson, coach, Scale Partner, employee, contractor, instructor, affiliate, or other representative of ScaleHouse has authority to:
● Guarantee a particular business or financial result;
● Guarantee earnings, revenue, profits, customers, or sales;
● Waive your payment obligation;
● Promise a refund inconsistent with the applicable written policy;
● Modify these Terms; or
● Make commitments on behalf of ScaleHouse that materially conflict with the written terms of your purchase.
Any authorized modification to your Program Fee, payment obligation, or these Terms must be documented in writing by an authorized ScaleHouse representative.
Nothing in this Section limits any rights or remedies available under applicable law concerning false, misleading, or deceptive representations.
12. SCALEHOUSE INTELLECTUAL PROPERTY
All ScaleHouse-created curriculum, training, videos, recordings, workbooks, templates, frameworks, methodologies, systems, processes, operating tools, SOPs, AI prompts, automation frameworks, hiring resources, presentations, graphics, diagrams, checklists, and other Program Materials are owned by ScaleHouse Academy, LLC or its licensors.
Enrollment provides you with a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use authorized Program Materials for your own internal business and educational purposes.
Your purchase does not transfer ownership of ScaleHouse intellectual property.
Without ScaleHouse's prior written authorization, you may not:
● Copy or reproduce Program Materials for distribution;
● Sell, license, sublicense, or redistribute Program Materials;
● Share Program login credentials;
● Publish Program Materials online;
● Upload Program Materials to another course, membership, database, or community;
● Teach ScaleHouse curriculum as your own;
● Commercialize protected ScaleHouse frameworks;
● Create unauthorized derivative training products;
● Remove proprietary notices; or

13. YOUR INTELLECTUAL PROPERTY
You retain ownership of your pre-existing business intellectual property, including your business name, trademarks, logos, customer information, original content, business records, and other materials that you independently owned or created outside ScaleHouse Program Materials.
Nothing in these Terms transfers ownership of your pre-existing intellectual property to ScaleHouse.
If you incorporate ScaleHouse-owned Program Materials into your internal business systems, ScaleHouse retains ownership of its underlying proprietary materials and you retain ownership of your independently created business materials.
14. COMMUNITY CONTENT
You retain ownership of original content you submit or post within a ScaleHouse community.
By voluntarily posting content within a ScaleHouse community, you grant ScaleHouse a limited, non-exclusive license to host, store, reproduce, and display that content as reasonably necessary to operate and administer the community and Program.
This operational license does not give ScaleHouse ownership of your underlying business intellectual property.
ScaleHouse will not use your identifiable business content as an advertising testimonial without obtaining any consent required by applicable law.
15. ACCOUNT SECURITY
You are responsible for maintaining the confidentiality and security of your account credentials.
You may not share, sell, transfer, or provide your login credentials to an unauthorized person.
You agree to notify ScaleHouse promptly at support@scalehouseacademy.com if you reasonably believe your account has been compromised or accessed without authorization.
ScaleHouse may suspend access when it reasonably believes an account is being shared or used without authorization.
16. HOUSEKEEPING & COMMUNITY RULES
ScaleHouse is committed to maintaining a productive, professional, respectful, and high-performing learning environment.
By participating in ScaleHouse programs, communities, events, coaching sessions, group calls, working sessions, or communication channels, you agree to:
Be Respectful. Treat ScaleHouse personnel, coaches, Scale Partners, guests, and fellow students professionally.
Protect Confidentiality. Treat information shared by other students concerning their businesses, finances, employees, customers, strategies, or personal circumstances as confidential.
No Unauthorized Recording. Do not record, screenshot, reproduce, livestream, or distribute private coaching sessions or community conversations without authorization.
No Harassment or Discrimination. Harassment, threats, bullying, intimidation, discriminatory conduct, hate speech, or abusive behavior are prohibited.
No Unauthorized Solicitation. Do not spam, mass-message, aggressively solicit, or use ScaleHouse communities primarily to promote unrelated products, services, investment opportunities, programs, affiliate offers, or communities without authorization.

Protect the Community. Do not scrape, harvest, sell, or commercially exploit Member contact information or confidential information.
Follow the Law. ScaleHouse platforms and communities may not be used for fraudulent, unlawful, deceptive, abusive, or harmful activities.
ScaleHouse may issue warnings, remove content, restrict community privileges, suspend access, or terminate participation for material or repeated violations.
17. DISABILITY ACCESS & REASONABLE ACCOMMODATIONS
ScaleHouse is committed to providing individuals with disabilities meaningful and equal access to its programs and services in accordance with applicable law.
If you require a reasonable accommodation to participate in a ScaleHouse Program or experience difficulty accessing ScaleHouse digital content because of a disability, please contact:
support@scalehouseacademy.com
(786) 704-0133
Please identify the accessibility issue or accommodation requested so ScaleHouse can evaluate the request.
ScaleHouse will consider reasonable accommodation requests on an individualized basis and provide reasonable accommodations where required by applicable law.
ScaleHouse does not unlawfully discriminate based upon disability or any other characteristic protected by applicable law.
18. NON-DISCRIMINATION
ScaleHouse does not unlawfully discriminate in providing its programs or services based upon race, color, national origin, ancestry, religion, sex, gender, gender identity or expression, sexual orientation, disability, medical condition, marital status, age, military or veteran status, or any other characteristic protected by applicable law.
19. MINORS & CHILDREN UNDER 18
ScaleHouse websites, paid Programs, memberships, products, and services are intended primarily for adults.
You must be at least 18 years old or the age of legal majority in your jurisdiction to independently purchase paid products or services or enter into a Payment Plan unless ScaleHouse expressly permits otherwise.
If you are under 18, you may not independently enter into a paid transaction with ScaleHouse unless your parent or legal guardian reviews and affirmatively agrees to the applicable Terms and authorizes the transaction.
Where ScaleHouse expressly offers a Program, event, or service to minors, additional parental consent, releases, waivers, permissions, or Program-specific terms may apply.
Individuals under 18 should not submit payment information or other personal information without appropriate parental or legal-guardian authorization.
Where applicable, ScaleHouse will comply with legal requirements concerning minors' personal information.
For California consumers under 16, applicable opt-in requirements concerning the sale or sharing of personal information will be followed where ScaleHouse is subject to those requirements. For children under 13, required authorization must be provided by a parent or guardian; consumers who are at least 13 but under 16 may provide applicable opt-in authorization themselves where permitted by law.
20. CALIFORNIA CONSUMER RIGHTS
If you are a California resident, you may have additional rights under applicable California consumer protection and privacy laws.
Nothing in these Terms is intended to limit or waive any right or remedy that cannot lawfully be waived.
If ScaleHouse offers an automatic renewal, recurring subscription, or continuous service, ScaleHouse will provide applicable renewal terms, obtain affirmative consent where required, and provide legally required cancellation methods.
The fixed Payment Plan described in these Terms is intended as a payment arrangement for a fixed contractual Program Fee and not as a month-to-month cancel-anytime subscription.
California residents may also have rights regarding their personal information under the California Consumer Privacy Act, as amended by the California Privacy Rights Act (“CCPA/CPRA”), if and to the extent those laws apply to ScaleHouse.
Applicable rights may include rights concerning access, knowledge, correction, deletion, sale or sharing, and non-discrimination for exercising applicable privacy rights.
Additional information is provided in the ScaleHouse Privacy Policy.
21. PRIVACY POLICY
Your use of ScaleHouse websites, Programs, products, and services is subject to the ScaleHouse Academy Privacy Policy, which is incorporated into these Terms by reference.
The Privacy Policy explains how ScaleHouse collects, uses, processes, protects, retains, and discloses personal information and describes applicable privacy choices and rights.
Where applicable law requires separate consent for a particular processing activity, ScaleHouse will obtain that consent as required.
Privacy inquiries may be submitted to:
support@scalehouseacademy.com
22. TEXT MESSAGING POLICY
If you separately provide the consent required to receive text messages from ScaleHouse, ScaleHouse may send transactional and/or marketing text messages to the telephone number you provide consistent with the consent obtained.
Message frequency may vary. Message and data rates may apply.
Consent to receive marketing text messages is not a condition of purchasing ScaleHouse products or services.
You may opt out of applicable marketing messages by replying STOP.
You may reply HELP for assistance or contact:

Additional terms are provided in the ScaleHouse Text Messaging Policy and Privacy Policy.

24. PROGRAM RECORDINGS
ScaleHouse may record group coaching sessions, trainings, workshops, working sessions, office hours, events, or similar Program activities for educational, quality-control, archival, or Program purposes.
Where consent is required by applicable law, ScaleHouse will obtain the required consent.
Students may not independently record, reproduce, publish, livestream, distribute, or commercially exploit ScaleHouse sessions without authorization.
25. AI, AUTOMATION & THIRD-PARTY TECHNOLOGY
ScaleHouse may teach or recommend artificial intelligence, automation, virtual-assistant workflows, software, platforms, applications, and third-party services.
ScaleHouse does not control third-party providers and does not guarantee their continued availability, pricing, features, security, accuracy, integrations, or performance.
Artificial-intelligence outputs may contain errors, inaccuracies, or outdated information.
You remain responsible for reviewing and validating outputs before implementing them.
26. THIRD-PARTY LINKS & SERVICES
ScaleHouse websites or Programs may contain links to or integrations with third-party websites, software, vendors, payment processors, platforms, or services.
ScaleHouse does not control those third parties and is not responsible for their content, policies, availability, security, products, services, or business practices.
Your relationship with a third-party provider is governed by the applicable third party's terms.
27. TAXES
You are responsible for taxes, duties, assessments, or similar governmental charges arising from your purchase where applicable, except taxes imposed directly upon ScaleHouse's net income.
Where ScaleHouse is legally required to collect and remit applicable sales, use, or similar taxes, such amounts may be added to your purchase.
28. COPYRIGHT & INTELLECTUAL PROPERTY COMPLAINTS
ScaleHouse respects intellectual-property rights.
If you believe content appearing on a ScaleHouse website or community infringes your copyright or other intellectual-property rights, please contact:
support@scalehouseacademy.com
Your notice should identify the protected work, the allegedly infringing material, your contact information, and sufficient information for ScaleHouse to investigate the complaint.
Where the Digital Millennium Copyright Act or another applicable law establishes specific notice requirements, notices should comply with those requirements.
29. INDEPENDENCE & NO AFFILIATION WITH SPECTACULAR ACADEMY
ScaleHouse Academy, LLC is an independent company and educational organization.
ScaleHouse Academy, LLC is not affiliated with, owned by, operated by, sponsored by, endorsed by, or associated with Spectacular Academy, Spectacular School of Business, Spectacular Smith, Adwizar, Inc., or any of their affiliated companies, programs, brands, products, or services.
Any similarity in subject matter, educational topics, business concepts, industry terminology, or audience should not be interpreted as an affiliation, partnership, sponsorship, endorsement, or continuing business relationship.
ScaleHouse Academy independently provides and operates its own programs, curriculum, services, systems, methodologies, and educational offerings.
30. NO PARTNERSHIP OR AGENCY
Your enrollment does not create an employment, partnership, franchise, joint venture, agency, fiduciary, or similar relationship between you and ScaleHouse.
You remain an independent business owner or participant responsible for your own business.
31. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCALEHOUSE ACADEMY, LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, COACHES, SCALE PARTNERS, INSTRUCTORS, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR PARTICIPATION IN A SCALEHOUSE PROGRAM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCALEHOUSE'S AGGREGATE LIABILITY ARISING FROM YOUR PROGRAM SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO SCALEHOUSE FOR THE PROGRAM GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability or consumer rights that cannot lawfully be excluded or limited.
32. INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless ScaleHouse Academy, LLC and its members, managers, employees, contractors, coaches, Scale Partners, instructors, and agents from third-party claims, liabilities, losses, damages, and reasonable costs arising from:
● Your business activities;
● Your unlawful use of Program Materials;
● Your violation of applicable law;
● Your infringement of third-party rights; or
● Your material breach of these Terms.
33. TERMINATION
ScaleHouse may suspend or terminate Program access for material non-payment, material breach of these Terms, misuse of ScaleHouse intellectual property, fraud, illegal activity, serious misconduct, harassment, material disruption, or material threats to safety.
Where reasonably appropriate, ScaleHouse may provide notice and an opportunity to cure.
Termination resulting from your material breach does not automatically create a refund or eliminate amounts otherwise lawfully due.
34. DISPUTE RESOLUTION & BINDING ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Informal Resolution
Before initiating arbitration, you and ScaleHouse agree to attempt in good faith to resolve the dispute informally.
A party asserting a dispute must provide written notice describing the dispute, relevant facts, and requested resolution.
Notices to ScaleHouse should be sent to:
ScaleHouse Academy, LLC
836 West Dayton Circle
Fort Lauderdale, FL 33312
support@scalehouseacademy.com
The parties will have thirty (30) days after receipt of the notice to attempt informal resolution.
Mediation
If the dispute is not resolved informally, the parties agree to attempt confidential mediation before arbitration unless immediate injunctive relief is reasonably necessary.
Binding Individual Arbitration
If mediation does not resolve the dispute, any dispute, claim, or controversy arising out of or relating to these Terms, your purchase, enrollment, Program participation, advertising, services, Program Materials, or relationship with ScaleHouse shall, to the extent permitted by applicable law, be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under the applicable AAA rules.
The Federal Arbitration Act (“FAA”) shall govern the interpretation and enforcement of this arbitration provision where applicable.
Arbitration fees and costs shall be allocated in accordance with applicable AAA rules and applicable law.
Nothing in these Terms requires a consumer to pay arbitration costs that applicable law requires ScaleHouse to pay.
Arbitration Opt-Out
You may opt out of this arbitration provision by providing ScaleHouse with written notice of your decision to opt out within thirty (30) days after your initial acceptance of these Terms.
Your notice must include your name, email address used to enroll, and a clear statement that you wish to opt out of the arbitration provision contained in the ScaleHouse Academy Terms & Conditions.
The notice must be sent to:
support@scalehouseacademy.com
with the subject line:
ARBITRATION OPT-OUT
or mailed to:
ScaleHouse Academy, LLC
836 West Dayton Circle
Fort Lauderdale, FL 33312
Opting out of arbitration does not cancel your Program enrollment or payment obligations and does not affect the remaining provisions of these Terms.
Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SCALEHOUSE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR PARTICIPANT IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SCALEHOUSE KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY FOR DISPUTES SUBJECT TO THIS ARBITRATION PROVISION.
Government Agencies
Nothing in these Terms prevents you from communicating with or filing a complaint with a federal, state, or local governmental agency where applicable law permits.
Injunctive Relief
Nothing in this Section prevents either party from seeking appropriate temporary or preliminary injunctive relief from a court of competent jurisdiction where reasonably necessary to protect intellectual property, confidential information, or prevent immediate irreparable harm.
35. GOVERNING LAW
These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law controls or applicable consumer law requires otherwise.
For disputes not subject to arbitration, the parties consent to jurisdiction and venue in courts of competent jurisdiction located in Broward County, Florida, except where applicable law requires otherwise.
36. FORCE MAJEURE
ScaleHouse shall not be responsible for reasonable delays or inability to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, governmental actions, war, civil disturbances, widespread illness, travel restrictions, labor disruptions, internet outages, telecommunications failures, platform failures, or widespread technology outages.
ScaleHouse may reasonably reschedule affected services or provide alternative delivery methods.
37. CHANGES TO THESE TERMS
ScaleHouse may update these Terms prospectively to reflect changes in services, business practices, technology, or applicable law.
Material changes will apply prospectively as required by applicable law.
The “Last Updated” date identifies the most recent version.
Changes to these Terms will not retroactively change a previously agreed Program Fee or vested contractual rights except where mutually agreed or permitted by applicable law.
38. SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall continue in effect.
39. NO WAIVER
ScaleHouse's failure to enforce a provision on one occasion does not waive its right to enforce that provision or another provision later.
40. ENTIRE AGREEMENT
These Terms, together with the applicable sales or checkout page, Privacy Policy, Refund & Cancellation Policy, Text Messaging Policy, and other policies or disclosures expressly incorporated by reference, constitute the agreement governing your purchase and Program enrollment.
No oral statement modifies these Terms unless incorporated into an authorized written agreement.
